Terms of Service

These Terms form a binding agreement between you and Thriveful, Inc. ("Thriveful," "we," "our," or "us").

If you use the Services on behalf of a company or other entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" refers to that entity.

• Services: Thriveful's software tools and related features, including Brand Archetype Discovery™, Brand Core System™, and Brand Clarity Engine™.
• User: Any person or entity that accesses or uses the Services.
• Content: Any text, files, uploads, inputs, prompts, responses, brand materials, or other information you submit to the Services.
• AI Outputs: Content generated by the Services in response to Content (including AI-enabled features).
• Subscription: A paid monthly or annual plan that provides access to all or part of the Services.

You must provide accurate and complete information when creating and maintaining an account. You are responsible for all activities under your account and for keeping login credentials confidential.

We may use third-party providers to support authentication and access (for example, email login, Google OAuth, and Clerk). You must promptly notify us if you believe your account has been compromised.

Subject to these Terms, Thriveful grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business or personal purposes.

You agree not to:

• Reverse engineer, decompile, or attempt to extract source code from the Services (except to the extent such restriction is prohibited by law)
• Copy, resell, sublicense, lease, or transfer access to the Services except as expressly permitted by Thriveful
• Circumvent billing controls, usage limits, rate limits, access restrictions, or security measures
• Interfere with the integrity, security, or availability of the Services
• Access or use the Services in a way that violates applicable law

A. Payment and Renewal

Paid Subscriptions renew automatically until canceled. You authorize Thriveful (and our payment processor) to charge applicable fees (including recurring charges) and any applicable taxes.

Billing and payment processing are handled by Stripe or another authorized processor.

B. Cancellation

You may cancel your Subscription at any time through the dashboard (if available) or by contacting support. Cancellation takes effect at the end of the current billing period unless required otherwise by law.

C. Refunds

Except where required by law, Thriveful does not provide refunds or credits for partially used periods, early cancellations, or dissatisfaction with AI Outputs.

D. Free Trials

If a free trial is offered, it may convert to a paid Subscription at the end of the trial unless canceled before the trial ends. Trial terms (duration and eligibility) may vary and will be described at sign-up.

E. Usage Limits and Plan Changes

Plans may include limits (for example, audits, AI generations, API calls, seats, or other usage). If you exceed plan limits, we may require an upgrade, apply additional fees, or reduce functionality until usage falls within limits.

We may change plan features and pricing from time to time. Any changes will apply on a prospective basis and, if required by law, with prior notice.

A. Your Content

You retain ownership of the Content you submit. You grant Thriveful a worldwide, non-exclusive license to host, store, reproduce, process, transmit, and display your Content only as necessary to provide, operate, and maintain the Services, secure the Services and prevent abuse, comply with law, and improve the Services (including using de-identified and/or aggregated information where permitted).

You represent and warrant that you have all rights necessary to submit Content and grant these permissions.

B. AI Outputs

As between you and Thriveful, you own the AI Outputs generated for your account to the extent permitted by applicable law. Thriveful does not claim ownership of your Brand Core materials, audit results, or AI Outputs generated for your account.

C. Important Note About AI

AI Outputs may be incorrect, incomplete, misleading, biased, or not suitable for your intended use. You are responsible for reviewing and verifying AI Outputs before relying on them.

Do not use AI Outputs as a substitute for professional advice (including legal, financial, medical, or other regulated advice).

D. Feedback

If you provide suggestions, ideas, or feedback about the Services, you grant Thriveful the right to use that feedback without restriction or compensation.

You may not use Thriveful to:

• Create or promote illegal, fraudulent, hateful, or deceptive content
• Generate misinformation or impersonation intended to mislead
• Harass, threaten, or abuse individuals or groups
• Automate spam or abusive outreach
• Conduct scraping, credential attacks, or abusive automation against Thriveful or third parties
• Use AI Outputs to create malicious content or facilitate harmful activity
• Violate the rights of others (including intellectual property, privacy, or publicity rights)

Violations may result in suspension or termination.

We may suspend or terminate your access to the Services if we reasonably believe you violated these Terms, engaged in abuse, fraud, or misuse, failed to pay applicable fees, created risk or harm to Thriveful, other users, or the Services, or are using the Services in a way that could expose Thriveful to liability.

You may stop using the Services at any time.

Sections that by their nature should survive termination will survive, including Sections on Content licenses, disclaimers, limitations of liability, indemnity, and governing law.

The Services may integrate with third-party tools or services (for example, payment processors, analytics, authentication, and AI providers). Third-party services are governed by their own terms and policies.

Thriveful is not responsible for third-party services, outages, or acts or omissions.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, THRIVEFUL DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Thriveful does not warrant that the Services will be uninterrupted, secure, or error-free, or that AI Outputs will be accurate, complete, or fit for your purposes.

To the maximum extent permitted by law, Thriveful and its officers, directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, goodwill, data, or business interruption, arising out of or related to your use of the Services.

To the maximum extent permitted by law, Thriveful's total aggregate liability for claims arising out of or related to the Services will not exceed the amount you paid to Thriveful for the Services during the three (3) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to defend, indemnify, and hold harmless Thriveful and its affiliates, officers, directors, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Services, your Content, your use of AI Outputs, or your violation of these Terms or applicable law.

These Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of the State of Georgia, without regard to conflict of laws principles.

We may update these Terms from time to time. When we do, we will post the updated version on this page and update the "Last Updated" date above. Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
